Below are the conditions of hire associated with your venue hire agreement. These conditions of hire replace all previous terms and conditions and are active from the date signed in your Schedule 1 – Venue Hire Agreement.

1. Definitions
Unless the context otherwise requires the following words have the following meanings:
"Agreed Use" means the specific use for which the Hirer is able to use the Hire Area as set out in the Key Terms.
"Agreement" means this agreement which comprises the Schedules, any other schedules, plans and annexures attached to them together with these General Terms and Conditions and any policies, procedures, guidelines and rules set out by Eventfinda Stadium relating to the use, occupation, services, safety and security of the Venue.
"Bond" means the bond (if any) set out in the Key Terms.
"Booking and Bumping Policy" means Eventfinda Stadium's booking and reservations policy as may be updated or amended by Eventfinda Stadium from time to time.
"Broadcaster Internet Access Terms" means the broadcaster internet access terms and conditions as set out in Schedule 1.
"Business Day" means any day of the week other than Saturday, Sunday, or any public holiday or regional holiday observed in Auckland.
"Caterer" means Eventfinda Stadium's caterer to the Venue from time to time.
"Common Areas" means the areas shown coloured in yellow on the Venue Site Plan which the Hirer is authorised to use in common with Eventfinda Stadium and any other authorised user of the Venue.
"Consumer Price Index" means the Consumer Price Index (All Groups) as calculated by the Department of Statistics and published quarterly (or such replacement index (as reasonably nominated by Eventfinda Stadium) of the Consumer Price Index (All Groups) should that index cease to exist).
"Corporate Hospitality Packages" means any special promotional packages to the Event which may include such extras as food and beverage provided in a corporate dining setting and preferential/exclusive seating rights.
"Credit Card Surcharge" means any surcharge payable by the Hirer on credit card payments made under this Agreement and being at the rate determined by Eventfinda Stadium from time to time.
"Deposit" means the deposit paid on account of the Hire Fee and the Equipment Rental Deposit (if any) as specified in the Key Terms.
"Due Date" means the due date for any payment as specified in the Key Terms.
"Duty Manager" means Eventfinda Stadium's representative on duty at the Venue during the Hire Period.
"Equipment Rental Terms" means the equipment rental terms and conditions as set out in Schedule 2.
"Event" means the event or activity to be staged by the Hirer at the Venue using the Hire Area.
"Event Plan" has the meaning set out in clause 7.1.
"Eventfinda Stadium" means the North Shore Events Centre Trust Board, the operator of the Venue.
"Force Majeure" means any event or circumstance beyond the reasonable control of the party claiming the existence of such event or circumstance which that party is unable to prevent or overcome by the exercise of reasonable care and at a reasonable cost, and includes but is not limited to:
- act of God, fire, earthquake, storm, flood or landslide;
- explosion or public mains water or electrical supply failure;
- sabotage, riot, civil disturbance, insurrection, epidemic, natural or civil emergency (whether in fact or law), act of terrorism or act of war (whether declared or not);
- unavoidable accident, but does not include:
- any labour strikes, lockouts or unrest by any employees or independent contractors of the Hirer; or
- lack of funds for any reason.
"General Terms and Conditions" means these general terms and conditions.
"Gross Revenue from Ticket Sales" means, in relation to a Public Event, the total revenue received by the Ticketing Agent on behalf of the Hirer in relation to ticket sales for the Event being the ticket price less:
- GST; and
- inside charges; and
- any credit card fees charged by the Ticketing Agent; and
- any printing charges payable to the Ticketing Agent,
but excluding revenue (if any) received by the Ticketing Agent on account of tickets sold as part of a Corporate Hospitality Package.
"GST" means the tax imposed by the Goods and Services Tax Act 1985 (as amended from time to time).
"Hire Area" means those areas within the Venue or any area adjacent to the Venue to be hired or used by the Hirer either exclusively or in common with others, as detailed in the Venue Site Plan.
"Hire Fee" means the Hire Fee set out in the Key Terms (but subject to adjustment in accordance with clause 17).
"Hire Period" means the period specified in the Key Terms.
"Hirer" means the person named as the Hirer in the Key Terms where the context requires and includes, as appropriate:
- those persons for whom the Hirer is responsible, being, by way of example only the Hirer's Representatives, employees, agents, volunteers, contractors, exhibitors, promoters, invitees, Patrons, performers, participants;
- the Hirer's successors and assigns; and
- the Broadcaster as referred to in the Broadcaster Internet Access Terms.
"Hirer's Publications" means all promotions, advertising, signage and other like materials, tickets, broadcasting, television, film, electronic media or other publications produced by or on behalf of the Hirer related to the Event.
"Hirer's Representatives" mean those persons nominated in writing by the Hirer with authority to make arrangements on behalf of the Hirer with Eventfinda Stadium.
"Losses" means, without limitation, any damage, cost, loss, claim, expense or liability of whatever nature (including default interest specified in clause 10.2) incurred or sustained by a party by reason of the acts or omissions of the other party (including the breach of this Agreement by the first party) and, in relation to Eventfinda Stadium, means any damage, cost, loss, claim, expense or liability of whatever nature incurred or sustained by Eventfinda Stadium:
- as a result of the Hirer's acts or omissions under this Agreement; or
- that is caused directly or indirectly by Patrons or other persons for whom the Hirer is responsible.
"Major Event" means an event which the Governor General by order in Council declares to be a Major Event in accordance with the powers contained in section 7 of the Major Events Management Act 2007.
"Pack-In" means and refers to that part of the Hire Period during which the Hirer erects and installs any infrastructure needed for the Event in the Hire Area and during which the Hirer prepares the Hire Area and the Venue for the Event.
"Pack-Out" means and refers to that part of the Hire Period after completion of the Event during which the Hirer must remove its entire Event infrastructure from the Hire Area and the Venue.
"Parties" means Eventfinda Stadium and the Hirer.
"Patron" means a person attending the Venue for an Event and "Patrons" has a corresponding meaning.
"Price Review Mechanism" means the price review mechanism in relation to Events that occurs for more than one year as detailed in the Key Terms, if applicable.
"Private Event" means an event or activity not open or accessible to the general public.
"Public Event" means an event or activity which is stated to be a Public Event in the Key Terms being an Event which is open or accessible to the general public irrespective of whether a ticket is required for entry.
"Service Charges" means the total amount payable by the Hirer to Eventfinda Stadium for all Services provided under this Agreement.
"Services" means those services provided by Eventfinda Stadium under this Agreement, which may include but is not limited to catering, security, technical support, supply of equipment, parking, cleaning, supply of employees and personnel and other services provided to the Hirer by Eventfinda Stadium or the Venue or their contractors.
"Sponsorship Terms" means the sponsorship terms as set out in Schedule 3.
"Taxes" means taxes, levies, imposts, duties, charges, deductions, withholdings or GST imposed by any authority.
"Ticketing Agent" means Eventfinda Stadium's ticketing agent used for the Event.
"Venue" means the venue located at 17 Silverfield Lane, Glenfield, Auckland, and any other venues owned or operated by Eventfinda Stadium, if any.
"Venue Images" means the name, logo/s, trademark/s (registered or unregistered), and images of or relating to the Venue, Eventfinda Stadium, or any of Eventfinda Stadium's facilities.
"Venue Resource Consent" means the resource consent granted to Eventfinda Stadium by Auckland Council under the operative District Plan/proposed District Plan.
"Venue Site Plan" means the plan attached to this Agreement as Schedule 5 showing the inside Hire Area under this Agreement outlined in red, the outside Hire Area outlined in green, and any Common Areas that Eventfinda Stadium will allow the Hirer to access outlined in yellow.
2. Interpretation
In the construction of this Agreement, unless a contrary intention appears:
- headings are for reference only and will be ignored in interpreting the provisions of the Agreement;
- words in the singular include the plural and vice versa;
- a reference to a person includes a partnership and a body, whether corporate or not;
- a reference to a Schedule is a reference to a Schedule to this Agreement;
- time will be of the essence in any provision where a time or period is given;
- any reference to laws, legislation or statutory requirements includes a reference to regulations or any other form of delegated legislation or local body bylaws, codes or rules or to any legislation in substitution for, or in amendment of, the legislation or statutory requirements;
- words that are derived from a defined term will have a similar meaning to the defined term; and
- all references to dollar amounts and fees payable under this agreement are references to New Zealand Dollars.
3. Hire and Use
3.1 Agreement to Hire / Venue Control
3.1.1 Eventfinda Stadium reserves the absolute right to refuse to hire any part of the Venue without stating any reason for the refusal.
3.1.2 Despite anything else contained in this Agreement, Eventfinda Stadium reserves the right to cancel any booking at any time in accordance with Eventfinda Stadium's Booking and Bumping Policy.
3.1.3 Subject to clause 6, Eventfinda Stadium licenses the Hirer to use the Hire Area and the Hirer agrees to take on licence the Hire Area for the Hire Period on the terms and conditions set out in this Agreement.
3.2 Hire Period and Agreement Term
3.2.1 This Agreement may apply to more than one Event. Where the Hire Period is in respect of multiple Events, this Agreement will operate for every such Event specified in the Key Terms provided that Eventfinda Stadium may change the prices included in this Agreement for any Event in accordance with clause 17.
3.2.2 Contractors engaged by the Hirer in relation to the Event and/or to operate at the Venue must operate within the Hire Period. Eventfinda Stadium may at its sole discretion increase the Hire Fee if the Hirer require access before the Pack-in Date or after the Pack-out Date.
3.2.3 Deliveries before and after the Hire Period will only be accepted if Eventfinda Stadium has first agreed to them.
3.2.4 The term of this Agreement runs from the date this Agreement is signed by all parties until the earlier of the:
- end of the Hire Period; or
- date this Agreement is cancelled or terminated in accordance with its provisions.
3.3 Use of the Venue
3.3.1 The Hirer may only use or access the Hire Area on the day/s within the Hire Period.
3.3.2 The Hirer will not use or permit to be used the whole or any part of the Hire Area for any use other than for the Agreed Use.
3.3.3 The Hirer will pay such further charges as determined by Eventfinda Stadium on demand if any part of the Venue is used by the Hirer other than the Hire Area, or for anything other than the Agreed Use.
3.3.4 The Hirer will co-operate with other occupiers, users and hirers of the Venue and take all reasonable steps to avoid disruption or inconvenience to them.
3.3.5 The Hirer must ensure that the number of people in the Venue does not exceed the Maximum Capacity of Venue stated in the Key Terms. The Hirer will be liable for the fines, costs or expenses that Eventfinda Stadium may incur if this maximum capacity is exceeded.
3.4 Booking Confirmation & Reservations Policy
3.4.1 No booking is confirmed until this Agreement is signed, the Hirer has paid the Deposit, and the Hirer has provided evidence to Eventfinda Stadium that it is a legal entity (e.g. certificate of incorporation).
3.4.2 The Hirer will not advertise, promote, or announce any function or event in or at the Hire Area or Venue until the booking is confirmed. If the Event is a Public Event, tickets to the Event cannot be sold until the booking is confirmed.
4. Setting Up the Hirer's Event
4.1 Event Plan and Liaison with Eventfinda Stadium
4.1.1 Where required by Eventfinda Stadium the parties will work together to develop an event plan ("Event Plan") immediately after this Agreement has commenced. The Event Plan may include health and safety plans, risk management, evacuations, layout, catering, and security. Eventfinda Stadium must approve any Event Plan no less than 30 days prior to the first day of the Event.
4.1.2 The Hirer must immediately notify Eventfinda Stadium of any changes proposed to the approved Event Plan.
4.1.3 Eventfinda Stadium will maintain overall supervision and control of the Venue during the Hire Period so as to protect the Venue.
4.2 Eventfinda Stadium's Commitment
4.2.1 Eventfinda Stadium will ensure the Venue is ready and set up in accordance with the Event Plan prepared under clause 7 no later than one hour before the start of the Hire Period or as set out in the Event Plan.
4.3 Preferred and Exclusive Suppliers
4.3.1 Eventfinda Stadium has preferred supplier relationships with certain parties, particularly in relation to cash handling and audio visual equipment. If the Hirer does not use preferred suppliers, Eventfinda Stadium may appoint an supervisor at the Hirer's expense.
4.3.2 Requirements for security must be discussed with Eventfinda Stadium before the Event. The Hirer will ensure appropriate security for the Event is engaged and provided by Eventfinda Stadium's exclusive security supplier.
4.3.3 Eventfinda Stadium has an exclusive relationship with its Caterer as set out in Schedule 3.
4.3.4 In respect of ticketing Eventfinda Stadium has a relationship with a selected number of ticketing agencies, one of whom the Hirer must use for any ticketed Event.
5. Payments
5.1 General Financial Terms
5.1.1 The Hirer must pay Eventfinda Stadium all fees set out in the Key Terms and this clause 10 in the manner and on the dates specified. All payments must be made without deduction or set off.
5.2 Deposit
5.2.1 The Deposit is a payment on account of the Hire Fee. Any Deposit due will be 100% non-refundable unless cancelled by the Hirer in line with the terms of this agreement.
5.3 Hire Fee Structure
5.3.1 The Hire Fee will be the baseline amount specified except in cases where a Gross Revenue from Ticket Sales Percentage applies, rendering the final fee to be whichever calculation is greater.
5.4 Bond Terms
5.4.1 The Bond, less any amounts retained by Eventfinda Stadium under this Agreement, will be repaid to the Hirer within 20 Business Days of the Pack-out Date to cover any potential dynamic losses.
5.7 Failure To Pay / Late Payment
5.7.1 Failure to pay any amount on time may lead to cancellation of the Hirer's booking.
5.7.2 Any late payments will automatically incur default interest calculated at 2.5% per calendar month on the outstanding balance.
5.8 Cancellation Schedule
- Less than 3 months notice: Forfeiture of entire Deposit.
- Less than 14 days notice: Liable to pay full baseline Hire Fee within 7 days.
- Less than 3 days notice: Liable to pay 100% of Hire Fee and estimated dynamic Service Charges (including catering).
5.9 Price Review Formula
Where contracts span multi-year periods, subsequent hire adjustments calculate via the following metric:

- A: Historical Hire Fee for the immediate preceding year.
- B: Consumer Price Index ending on the quarter immediately preceding the current review date.
- C: Consumer Price Index ending on the quarter immediately preceding the original initialization date.
- D: Dynamic evaluated adjustment parameter for next phase execution.
6. Termination
6.1 Legal Costs
6.1.1 The Hirer will pay all of Eventfinda Stadium's debt collection costs and its legal costs (on a solicitor/client basis) of, and incidental to, the enforcement or attempted enforcement of Eventfinda Stadium's rights, remedies, and powers under this Agreement.
6.2 Civil Defence Emergency
6.2.1 If the Venue is designated an emergency welfare centre for Civil Defence purposes, the Venue may be occupied without notice. In that case, the Hirer will vacate immediately without any right to compensation except for a baseline refund of the clear Hire Fee.
6.4 Immediate Default Termination
6.4.1 Eventfinda Stadium may immediately terminate this agreement if the Hirer fails to meet payment milestones, provides misleading informational descriptions, demonstrates actions causing real likelihood of material building damage, or enters insolvency/liquidation proceedings.
7. Hirer's Obligations
7.1 Operational Compliance
7.1.1 The Hirer will ensure strict alignment with venue policies, safety declarations, and localized emergency services directives.
7.1.5 Critical Load Limitations: Any elements requiring suspension from the roof structure must be certified by a venue-appointed engineer at the client's cost. Blueprint details must arrive 21 days before baseline pack-in. Non-compliance risks catastrophic structural roof failure and triggers immediate termination layout options.
7.7 Public Liability Insurance Mandatory Tier
7.7.1 The Hirer must procure and maintain an active public liability insurance scheme valued at no less than $5,000,000 NZD with an approved underwriter. Evidence must be delivered 10 business days prior to initialization.
8. Eventfinda Stadium's Rights and Obligations
8.1 Access and Direct Control Tiers
8.1.1 Eventfinda Stadium management personnel retain a structural right of entry at any phase without notice for baseline tracking, monitoring, and security adjustments.
8.2 Duty Manager Assignments
8.2.1 A dedicated Duty Manager coordinates overall stadium tracking during operational metrics. The Hirer must comply immediately with safety adjustments issued by the manager.
9. General Provisions
9.2 Taxation Context
9.2.1 All baseline fees tracked inside this instrument represent metrics exclusive of GST. The Hirer remains entirely accountable for balancing tax thresholds concurrent with payment schedules.
9.7 Governing Jurisdictional Law
9.7.1 This Agreement will be exclusively governed and construed according to the laws of New Zealand.
Schedule 1: Broadcaster Internet Access Terms and Conditions
1. Infrastructure Background
1.1 Eventfinda Stadium coordinates alongside Kordia NZ to supply premium tier broadcast infrastructure channels. Baseline public Wi-Fi profiles are entirely unsuitable for media distribution lines.
5. Dedicated Technical Support
5.1.b.ii Requested live architecture support tier interventions billed explicitly at a localized operational premium scale of $165.00 NZD per hour per individual service agent.
Schedule 2: Equipment Rental Terms and Conditions
6. Custody, Maintenance, and Security Requirements
6.1 The Hirer recognizes that no ownership title transfers during the asset runtime track. Hardware elements must stay cleanly confined within defined zones of hire and safely stored against external vulnerability actions.
Schedule 3: Sponsorship Terms and Conditions
3. Intellectual Property Protections
3.1 Pre-existing asset layouts, logos, branding criteria, and localized visual trademarks remain locked under the exclusive ownership parameters of the registering entity throughout execution runtimes.
